Mandatory Notice

THIS DOCUMENT CONSTITUTES A BINDING LEGAL AGREEMENT BETWEEN YOU AND ACHINTAI. BY ACCESSING, REGISTERING FOR, OR USING SUDARSHANAI OR ANY ASSOCIATED SERVICE, YOU UNCONDITIONALLY ACCEPT ALL TERMS HEREIN. IF YOU DO NOT AGREE, CEASE USE IMMEDIATELY.

ALegal Entity & Sole Proprietorship

SudarshanAI is a proprietary AI-powered system architecture service exclusively owned, operated, and controlled by AchintAI, a sole proprietorship registered and operating under the laws of India, with its principal place of business and registered head office situated at Ambala, Haryana, India (hereinafter referred to as 'the Company', 'AchintAI', 'We', 'Us', or 'Our'). SudarshanAI is not an independent legal entity, company, firm, partnership, LLP, or any form of incorporated body. It is a commercial service and brand name operating under the sole proprietorship of AchintAI. The sole proprietor of AchintAI holds absolute, undivided, and exclusive ownership of all intellectual property, assets, goodwill, technology, and rights associated with SudarshanAI.

BProhibition on Ownership Claims

NO PERSON, ENTITY, CLIENT, ENTERPRISE, FIRM, SMB, INVESTOR, USER, OR ANY LEGAL ENTITY WHATSOEVER SHALL CLAIM, ASSERT, IMPLY, OR REPRESENT ANY OWNERSHIP, CO-OWNERSHIP, PARTNERSHIP, EQUITY, STAKE, BENEFICIAL INTEREST, OR CONTROL OVER ACHINTAI OR SUDARSHANAI, WHETHER IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, EXPRESSLY OR BY IMPLICATION. Any such claim shall be deemed null, void, and of no legal effect ab initio. The Company reserves the right to pursue all available legal remedies, including injunctive relief, damages, and criminal complaints under applicable Indian law against any person or entity making such claims. In the event AchintAI, at any point, merges with, acquires, is acquired by, sells its services to, or integrates the services of any other company, entity, firm, or legal body, no User, Client, Service Purchaser, or any third party shall have any right to object to, challenge, or obstruct such merger, acquisition, sale, integration, or use of third-party services. All Users and Clients irrevocably waive any right to raise any objection in connection with any such corporate action or business decision of AchintAI.

CIntellectual Property — Absolute Reservation

AchintAI hereby reserves absolutely and unconditionally all rights, titles, and interests in and to: The SudarshanAI brand name, logo, trade dress, and all associated trademarks (registered or unregistered); The underlying reasoning engine, synthesis algorithms, provider mapping protocols, agent pipeline architecture, Loop of Truth methodology, and all technical implementations; All source code, object code, APIs, databases, data structures, models, weights, and training data; All documentation, blueprints, user interfaces, design elements, and creative works; All future developments, improvements, modifications, and derivative works; All goodwill associated with the SudarshanAI and AchintAI brands. No use of SudarshanAI services shall confer, imply, or vest any intellectual property rights in the User. Blueprints generated for a User are licensed for that User's deployment use only and do not transfer any ownership of the underlying engine or methodology.

DAcceptance & Binding Agreement

By accessing the SudarshanAI platform, registering an account, using any API endpoint, accessing any generated output, or interacting with any feature of the service in any manner whatsoever, you ('User', 'Client', 'Service Purchaser', 'You') irrevocably and unconditionally agree to be bound by these Terms of Service, the Privacy Policy, and all applicable guidelines, policies, and bylaws issued by AchintAI, as amended from time to time without prior notice. MINOR NOTICE: This service is not intended for persons under 18 years of age. By using SudarshanAI, you represent and warrant that you are at least 18 years of age or possess valid legal parental or guardian consent.

EService License — Scope & Restrictions

Subject to full compliance with these Terms, AchintAI grants the User a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use SudarshanAI solely for the User's own internal business or personal purposes during the subscription term. The following are STRICTLY PROHIBITED and constitute material breach of these Terms: Reverse engineering, decompiling, disassembling, or attempting to derive the source code, algorithms, or grounding logic of the SudarshanAI engine; Automated scraping, crawling, or systematic extraction of data, blueprints, or outputs via any means including bots, scripts, or automated tools; Using SudarshanAI outputs to train, fine-tune, or develop competing AI models or architecture tools; Reselling, sublicensing, redistributing, or commercially exploiting SudarshanAI services or outputs without explicit written authorization from the Company; Delegating, transferring, or selling service access or credentials to any third party; Attempting to bypass, circumvent, or disable any security, rate-limiting, or access control measures; Using the service for any unlawful purpose or in violation of any applicable law or regulation; Impersonating AchintAI, SudarshanAI, or any of its representatives.

FNon-Transferability of Services — Strict Prohibition

NO USER, CLIENT, SERVICE PURCHASER, ENTERPRISE, FIRM, SMB, OR ANY LEGAL ENTITY SHALL DELEGATE, TRANSFER, SELL, SUBLICENSE, ASSIGN, LEASE, OR OTHERWISE MAKE AVAILABLE THEIR SUDARSHANAI SERVICE SUBSCRIPTION OR ACCESS CREDENTIALS TO ANY OTHER PERSON, LEGAL ENTITY, COMPANY, ENTERPRISE, FIRM, OR ANYONE ELSE — WHETHER FOR PROFITABLE OR NON-PROFITABLE PURPOSES — WITHOUT THE PRIOR EXPRESS WRITTEN PERMISSION OF THE SOLE PROPRIETOR OF ACHINTAI OR AN OFFICIALLY AUTHORIZED REPRESENTATIVE. Any breach of this Section shall result in: Immediate and permanent termination of all services without refund; Forfeiture of any prepaid subscription fees; Imposition of a financial penalty of not less than Rupees Fifty Thousand (INR ₹50,000/-) as the minimum base penalty. The maximum financial penalty shall be determined by AchintAI at its sole discretion based on the nature, extent, gravity, duration, and commercial impact of the breach, and such maximum penalty shall not be subject to any cap. The Company reserves the right to impose additional penalties, recover loss of business, and claim consequential damages over and above the minimum penalty. For Users, Clients, or Service Purchasers located outside the territorial jurisdiction of India, the financial penalty shall be imposed and denominated in United States Dollars (USD), with the minimum and maximum penalty amount determined by AchintAI at its sole discretion based on the nature, extent, gravity, and commercial impact of the breach; Potential civil and criminal liability under applicable Indian law including the Information Technology Act, 2000 and the Indian Contract Act, 1872.

GNon-Refundability of Services — Absolute Policy

ALL SERVICES, SUBSCRIPTION PLANS, TIER PLANS, API ACCESS, ONE-TIME PURCHASES, AND ANY OTHER PAID OFFERINGS OF SUDARSHANAI ARE STRICTLY NON-REFUNDABLE UNDER ANY CIRCUMSTANCES WHATSOEVER. Once a payment has been made and a service, subscription, or tier plan has been activated or purchased, the same shall not be refunded, reversed, credited, adjusted, or repaid to the User, Client, or Service Purchaser under any condition, including but not limited to: Dissatisfaction with the service or its outputs; Non-use or partial use of the subscription or plan; Technical issues, outages, or service interruptions; Termination of the User's account for breach of Terms; Change of mind, business requirement, or financial circumstance; Any force majeure event or circumstances beyond the Company's control. The User expressly acknowledges and agrees that all purchases are final and no claim for refund, chargeback, or reversal shall lie against AchintAI or its Sole Proprietor under any circumstances. Any chargeback initiated by the User through a payment processor or banking institution in contravention of this clause shall be treated as a breach of these Terms and the User shall be liable for all costs, penalties, and legal expenses incurred by AchintAI in contesting such chargeback.

HTaxes & Statutory Levies on Tier Plans

All tier plans, subscription plans, and paid services offered by SudarshanAI are subject to applicable taxes, levies, cesses, surcharges, and statutory deductions as may be imposed by the Central Government of India, any State Government, or any competent authority or regulatory body under any present or future law of India, including but not limited to Goods and Services Tax (GST), any digital services tax, withholding tax, or any other tax or levy that may be introduced or amended by law from time to time. The prices displayed on the SudarshanAI platform may or may not be inclusive of applicable taxes. AchintAI reserves the right to charge applicable taxes over and above the displayed price. The User, Client, or Service Purchaser shall be solely responsible for bearing and paying all applicable taxes on services purchased. AchintAI shall not be liable to absorb or reimburse any tax, levy, or statutory charge incurred by the User in connection with the purchase or use of any service or tier plan.

ILimitation of Liability — Comprehensive Exclusion

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, ACHINTAI AND ITS SOLE PROPRIETOR SHALL NOT BE RESPONSIBLE, LIABLE, OR ACCOUNTABLE IN ANY MANNER WHATSOEVER FOR: Any data breach, unauthorized access, theft, leakage, or compromise of data arising from User's own infrastructure, misconfigurations, or deployment decisions; Any misrepresentation, misuse, or wrongful application of architectural blueprints or recommendations generated by SudarshanAI; Any data corruption, data loss, data collapse, or data destruction arising from User's deployment, cloud configuration, or operational decisions; Any security breach within User's cloud environment resulting from implementation of synthesized blueprints; Any financial loss, business interruption, loss of revenue, loss of profits, loss of goodwill, or consequential damages of any nature; Any third-party claims against the User arising from User's use of SudarshanAI; Any service outage, downtime, or unavailability of the SudarshanAI platform; Any inaccuracy, error, or omission in generated blueprints, cost estimates, or architectural recommendations. SudarshanAI provides architectural recommendations based on provided metadata. The User remains solely and exclusively responsible for all final deployment decisions, cloud costs, security configurations, and compliance obligations. Independent professional audit is strongly recommended before production deployment.

JGovernment Regulations & Future Compliance

The User acknowledges and agrees that all services provided by AchintAI and all Users of such services shall be bound by and subject to all present and future laws, regulations, guidelines, bylaws, circulars, orders, and directives issued or to be issued by: The Government of India; The Government of the State of Haryana or any other State Government having jurisdiction; The Ministry of Electronics and Information Technology (MeitY); The Department of Telecommunications (DoT); Any other regulatory authority, statutory body, or government department having jurisdiction over AI services, data processing, cloud computing, or software-as-a-service in India; The Information Technology Act, 2000 and all Rules and Amendments thereunder; The Digital Personal Data Protection Act, 2023 and all Rules made thereunder; Any other present or future legislation applicable to the services. IF ANY FUTURE GOVERNMENT REGULATION, BYLAW, GUIDELINE, OR DIRECTIVE BECOMES APPLICABLE TO ANY USER OR SERVICE OF ACHINTAI, THE COMPANY AND ITS SOLE PROPRIETOR SHALL BEAR ABSOLUTELY NO RESPONSIBILITY, LIABILITY, OR ACCOUNTABILITY FOR ANY CONSEQUENCE ARISING THEREFROM. USERS ARE SOLELY RESPONSIBLE FOR THEIR OWN REGULATORY COMPLIANCE.

KRight to Modify, Suspend, and Terminate Services

AchintAI hereby expressly and absolutely reserves the following rights, exercisable at any time without prior notice, intimation, or obligation to provide reasons: The right to modify, update, alter, or change any feature, functionality, pricing, or aspect of any service, in whole or in part; The right to temporarily or permanently suspend, restrict, or discontinue any service or part thereof; The right to permanently terminate or close the SudarshanAI platform or any associated service at any time; The right to refuse service to any person, company, enterprise, firm, SMB, legal entity, or any individual without being required to provide any reason; The right to ban or block any User account for any reason or no reason, at the Company's sole discretion; The right to modify, change, sell, alter, or transfer any address, service, or operational aspect of the Company; The right to integrate, use, or rely upon the services of any third-party company or platform without requiring the consent of or giving notice to any User, Client, or Service Purchaser. The User hereby irrevocably and unconditionally agrees that they shall have NO OBJECTION to the exercise of any of the above rights by AchintAI and shall have no claim, right, or cause of action against the Company or its Sole Proprietor in connection therewith.

LService Availability & SLA Disclaimer

AchintAI does not warrant or guarantee any specific level of availability, uptime, or service continuity. Any service level commitments stated in Enterprise Master Service Agreements are contractual obligations under those specific agreements only and do not apply to general users. The Company reserves the right to perform maintenance, updates, or modifications at any time.

MAPI Usage, Rate Limits & Fair Use

Users must strictly adhere to tier-specific rate limits and fair use policies as communicated by AchintAI from time to time. Violations including automated scraping, bulk API calls beyond permitted limits, or any attempt to circumvent throttling mechanisms shall constitute material breach and may result in immediate service termination, financial penalties not less than the minimum prescribed under these Terms with the maximum to be determined at AchintAI's sole discretion based on the nature and gravity of the breach, and legal action.

NEnterprise Agreements

Enterprise agreements and Master Service Agreements executed between AchintAI and Enterprise clients shall take precedence over these general Terms to the extent of any direct conflict. All provisions not expressly modified by an MSA shall continue to apply in full force.

OMandatory Pre-Dispute Notice — Limitation Period

MANDATORY NOTICE REQUIREMENT: Any person, User, Client, Service Purchaser, company, firm, enterprise, SMB, or any legal entity who has any grievance, issue, complaint, or dispute of any nature arising from or relating to SudarshanAI or AchintAI SHALL, BEFORE INITIATING ANY LEGAL PROCEEDING OR ARBITRATION, serve a written notice upon AchintAI at its registered office in Ambala, Haryana, India. Such notice must be served within THIRTY (30) CALENDAR DAYS from the date of the cause of action or the date on which the grievance first arose, whichever is earlier. Any notice served after the expiry of thirty (30) days from the date of the cause of action shall be deemed null, void, and of no legal effect, and no legal proceeding, arbitration, consumer complaint, or regulatory complaint shall lie on the basis of such a time-barred grievance. The thirty-day limitation period shall commence from the date of the actual cause of action or grievance and not from any subsequent date of knowledge, discovery, or communication. Time is of the essence with respect to this limitation period and no extension shall be granted under any circumstances. Failure to comply with this mandatory notice requirement and limitation period shall render any legal action or arbitration proceeding as premature, time-barred, incompetent, and liable to be dismissed at the threshold. This requirement is an absolute condition precedent to the invocation of any dispute resolution mechanism under these Terms.

PBinding Arbitration & Appointment of Arbitrator

Subject to the mandatory pre-dispute notice requirement and limitation period under Section O above, all disputes, controversies, differences, or claims arising out of or relating to these Terms, the Privacy Policy, the services provided by AchintAI, or any associated matter SHALL BE EXCLUSIVELY AND FINALLY RESOLVED BY BINDING ARBITRATION in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. THE ARBITRATOR SHALL BE APPOINTED SOLELY AND EXCLUSIVELY BY ACHINTAI. The Company reserves the absolute and unconditional right to appoint an arbitrator of its choice. The User, Client, or Service Purchaser irrevocably waives any right to object to the appointment of an arbitrator by AchintAI or to challenge such appointment on any grounds whatsoever, including on grounds of bias, conflict of interest, or lack of neutrality. The decision of the arbitrator so appointed shall be final, binding, and enforceable in any court of competent jurisdiction and shall not be subject to appeal except on the limited grounds prescribed under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Ambala, Haryana, India. The language of arbitration proceedings shall be English and/or Hindi. All costs of arbitration, including the arbitrator's fees, shall be borne by the party against whom the award is made, unless otherwise directed by the arbitrator.

QExclusive Jurisdiction

For any matter requiring judicial intervention or enforcement of any arbitration award, the Courts of competent jurisdiction at Ambala, Haryana, India shall have EXCLUSIVE JURISDICTION over all disputes, claims, or proceedings arising from or relating to these Terms or the services. BY ACCEPTING THESE TERMS, THE USER IRREVOCABLY SUBMITS TO THE EXCLUSIVE JURISDICTION OF THE COURTS AT AMBALA, HARYANA, INDIA AND WAIVES ANY OBJECTION TO THE LAYING OF VENUE OF ANY SUCH PROCEEDINGS IN AMBALA, HARYANA, INDIA.

RGoverning Law

These Terms of Service, the Privacy Policy, and all matters arising therefrom shall be governed by and construed in accordance with the laws of India, including the Indian Contract Act 1872, the Information Technology Act 2000, the Digital Personal Data Protection Act 2023, and the Arbitration and Conciliation Act 1996, without regard to conflict of law principles.

SInternational Users — Submission to Indian Law & USD Penalties

Users, Clients, Service Purchasers, or any legal entities located outside the territorial jurisdiction of India who access or use SudarshanAI services SHALL ALSO be bound by these Terms in their entirety and SHALL ALSO be subject to Indian law and the exclusive jurisdiction of the Courts at Ambala, Haryana, India for all purposes. Such international users irrevocably waive any objection to the application of Indian law or the jurisdiction of Indian courts, whether based on grounds of inconvenience, foreign sovereignty, or otherwise. All financial penalties imposed on international Users, Clients, or Service Purchasers for any breach of these Terms shall be denominated and payable in United States Dollars (USD). The amount of such penalties shall be determined by AchintAI at its sole discretion based on the nature, extent, gravity, duration, and commercial impact of the breach, and shall not be subject to any maximum cap. AchintAI reserves the right to initiate legal proceedings against international users in Indian courts or in the courts of any jurisdiction where such user is domiciled or carries on business.

TProhibition on Class Actions

TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE USER WAIVES ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS, CLASS-WIDE ARBITRATION, OR ANY REPRESENTATIVE PROCEEDINGS AGAINST ACHINTAI OR SUDARSHANAI. ALL CLAIMS MUST BE BROUGHT IN THE PARTY'S INDIVIDUAL CAPACITY ONLY.

UNo Legal Action Without Notice — Sole Proprietor Protection

No User, Client, Service Purchaser, company, firm, enterprise, SMB, or any legal entity shall have any right to initiate any legal proceedings, arbitration, consumer complaint, regulatory complaint, or any other legal action against AchintAI or its Sole Proprietor without first complying with the mandatory pre-dispute notice requirement and limitation period under Section O. Any action initiated without compliance shall be null and void, time-barred, and the User shall be liable for all costs, penalties, and legal expenses incurred by AchintAI in defending such action.

VIndemnification

The User agrees to indemnify, defend, and hold harmless AchintAI and its Sole Proprietor from and against any and all claims, liabilities, damages, losses, costs, expenses, and attorney's fees arising out of or relating to: (a) the User's use of SudarshanAI services; (b) the User's violation of any provision of these Terms; (c) the User's violation of any applicable law or regulation; (d) the User's violation of any third-party rights; or (e) any deployment decisions made by the User based on SudarshanAI blueprints.

WSeverability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

XEntire Agreement

These Terms of Service and Privacy Policy, together with any applicable Enterprise MSA, constitute the entire agreement between the User and AchintAI with respect to the subject matter hereof and supersede all prior negotiations, representations, warranties, and understandings of the parties.

YNo Waiver

No failure or delay by AchintAI in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof. No single or partial exercise of any right shall preclude any other or further exercise thereof.

ZForce Majeure

AchintAI shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, government actions, internet outages, power failures, cyber attacks by third parties, or any other force majeure event.

AAReserved Rights — Absolute & Unconditional

AchintAI reserves all rights described and not described in these Terms and reserves the right to change, modify, alter, or update any or all provisions of these Terms at any time without prior intimation or notice to anyone. AchintAI is not responsible or liable for providing any prior permission or notice before modifying or changing any term, condition, address, service, or operational aspect. No person, User, Client, or Service Purchaser shall have any objection to any such change.

All notices, requests, demands, or communications required or permitted under these Terms shall be in writing and delivered to: AchintAI, Service: SudarshanAI, Registered Office: Ambala, Haryana, India. Jurisdiction: Courts of Ambala, Haryana, India. Governing Law: Laws of India.
